SAPIENTIA.AI is an educational platform owned and operated by Academy Educational Services Ltd (AES UK LTD) (the "Company").
This Disclaimer and Limitation of Liability forms an integral part of the Terms and Conditions governing the use of the SAPIENTIA.AI platform and all educational services provided by Academy Educational Services Ltd (AES UK LTD), its directors, officers, employees, consultants, tutors, instructors, representatives, contractors, affiliates, licensors and collaborators (collectively referred to as the "Provider").
By registering for an account, purchasing, enrolling in, accessing or using any course, lesson, educational programme, digital content, tutorial, webinar, mentoring session, artificial intelligence service or any other educational resource available through SAPIENTIA.AI, the Student expressly acknowledges and agrees to the following:
SAPIENTIA.AI is exclusively an educational, informational and academic support platform.
The Provider supplies educational content, tutoring, mentoring, artificial intelligence learning tools, study support, educational guidance and learning resources designed solely to improve the Student's knowledge and understanding of the selected subjects.
The Provider is not an awarding body, university, governmental institution, licensing authority, examination board, professional regulator or recognised certification authority unless expressly stated in writing.
The Provider does not guarantee, represent or warrant that participation in any course, programme or educational activity offered through SAPIENTIA.AI shall result in:
Academic success depends entirely upon the Student's own commitment, preparation, attendance, examination performance and compliance with the requirements established by independent third-party educational institutions or competent authorities.
Except where expressly stated in writing and issued exclusively by an independent authorised awarding institution, SAPIENTIA.AI and Academy Educational Services Ltd (AES UK LTD) do not issue any document having:
Any attendance certificate, participation record, transcript, AI-generated report or educational completion statement issued by the Provider merely confirms participation in educational activities and shall never constitute a professional qualification, a university degree, a regulated diploma, a licence to practise or a legally recognised certification.
Where educational programmes involve third-party universities, colleges, educational institutions or awarding bodies, the Provider acts solely as an educational support and information service.
The Provider has no authority over admissions, examinations, grading, accreditation, academic decisions, graduation, issuance of certificates or professional recognition. All such decisions remain exclusively within the competence of the relevant third-party institution.
Artificial intelligence tools available through SAPIENTIA.AI are intended solely as educational support.
AI-generated responses, recommendations, summaries, explanations and educational content may contain inaccuracies, omissions or outdated information and shall not be relied upon as legal, medical, engineering, financial, professional or academic advice.
Students remain solely responsible for independently verifying all information before relying upon it.
To the fullest extent permitted by the laws of England and Wales, including without limitation the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015, the Provider excludes all liability for any loss or damage except where liability cannot lawfully be excluded.
Subject to mandatory law, the Provider shall not be liable for any direct, indirect, consequential, special or incidental loss; punitive damages; economic loss; business interruption; loss of opportunity, income or profits; reputational damage; academic or examination failure; inability to obtain certification or professional registration; or refusal by universities, employers or governmental authorities.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be excluded under English law.
Where liability cannot lawfully be excluded, the Provider's total aggregate liability arising out of or connected with the use of SAPIENTIA.AI shall not exceed the total amount of fees actually paid by the Student to Academy Educational Services Ltd (AES UK LTD) during the twelve (12) months immediately preceding the event giving rise to the claim.
To the fullest extent permitted by law, all services are provided on an "AS IS" and "AS AVAILABLE" basis.
The Provider expressly disclaims all express or implied warranties including merchantability, satisfactory quality, fitness for a particular purpose, uninterrupted availability, compatibility, accuracy, completeness, reliability and non-infringement.
The Provider does not warrant that SAPIENTIA.AI will operate without interruption, delay, defects, viruses or technical failures.
The Student is solely responsible for verifying whether any course satisfies legal or professional requirements; confirming recognition of qualifications within any jurisdiction; complying with admission requirements; preparing for examinations; obtaining visas where applicable; verifying employment requirements; and ensuring that any intended use of educational content is legally permissible.
The Student agrees to fully indemnify, defend and hold harmless Academy Educational Services Ltd (AES UK LTD), SAPIENTIA.AI and all of their directors, officers, shareholders, employees, consultants, tutors, affiliates, contractors, licensors and representatives from and against any and all claims, liabilities, proceedings, damages, losses, costs and expenses (including reasonable legal fees and court costs) arising directly or indirectly from breach of these Terms, misuse of the Platform, violation of applicable law, infringement of third-party rights, reliance placed upon educational materials, unauthorised use of educational content or false information supplied by the Student.
The Provider shall not be liable for any delay, interruption or failure to perform its obligations where such failure results from events beyond its reasonable control, including natural disasters, pandemics, governmental actions, war, terrorism, civil unrest, internet failures, cyber-attacks, power outages, software failures, cloud infrastructure interruptions or failures of third-party service providers.
During such events, the Provider may suspend, postpone or modify services without liability.
Nothing contained in these Terms limits or excludes any statutory rights available to consumers under the Consumer Rights Act 2015 or any other mandatory legislation applicable in England and Wales.
Where any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, this Disclaimer and any dispute arising out of or relating to SAPIENTIA.AI or the services provided by Academy Educational Services Ltd (AES UK LTD) shall be governed exclusively by the laws of England and Wales.
Subject to mandatory consumer protection legislation, the courts of England and Wales shall have exclusive jurisdiction over any dispute.
By creating an account, enrolling in any programme, purchasing any service or otherwise accessing SAPIENTIA.AI, the Student expressly confirms that they have carefully read these Terms; they fully understand their legal effect; they voluntarily accept all provisions contained herein; they acknowledge that SAPIENTIA.AI provides educational support, tutoring, mentoring and informational services only; they understand that neither SAPIENTIA.AI nor Academy Educational Services Ltd (AES UK LTD) guarantees academic success, professional recognition, employment or the issuance of any legally recognised qualification unless expressly provided by an independent authorised awarding institution; they accept that any educational materials supplied through the Platform are intended solely for learning purposes; and they waive, to the fullest extent permitted by applicable law, any claim inconsistent with the limitations and exclusions set out in these Terms.
